Terms of service overview
Scope
These Terms apply to all services and resources provided by ICT Shift unless superseded by a signed agreement, Statement of Work, or service-specific schedule.
Order of precedence
If documents conflict, priority is: signed contract/MSA, then signed SOW or service schedule, then SLA, then these Terms, then website informational content.
Applicable law
These Terms are governed by Dutch law, subject to any mandatory legal protections that apply to the customer under applicable law.
Service framework
The table below outlines the operational and legal framework generally applied to ICT Shift services.
No statement on the website should be interpreted as a guaranteed result, uptime, or response commitment unless expressly set out in a signed agreement or SLA.
Fees, invoicing, and payment
- Fees are stated in proposal, SOW, or subscription terms.
- Unless explicitly stated otherwise, fees are quoted and invoiced excluding VAT (BTW).
- Invoices are payable by the due date shown on invoice.
- Late payment may lead to statutory interest and collection costs where legally permitted.
- ICT Shift may suspend non-critical services for materially overdue accounts after notice.
Intellectual property
Each party retains ownership of its pre-existing intellectual property. Deliverables ownership and license rights are governed by the signed contract, including third-party licensing restrictions.
Privacy and data processing
Processing of personal data is governed by our Privacy Policy and, where required, a Data Processing Agreement. Where ICT Shift acts as processor for client data, processing terms are agreed contractually, including security and confidentiality obligations for both parties.
Liability, suspension, and termination
Except in cases of intent or gross negligence and subject to mandatory law, each party’s liability is limited to direct damages and capped according to the applicable contract. Consequential or indirect losses are excluded to the extent permitted by law.
ICT Shift may suspend services where necessary for security, legal compliance, emergency maintenance, or material breach. Either party may terminate according to agreed notice and cure periods in the contract.
Upon termination, parties cooperate on reasonable transition, data export where contractually agreed, and final settlement of outstanding fees.
Governing law and disputes
These Terms are governed by Dutch law. Disputes are submitted to the competent court in the Netherlands, unless mandatory law requires otherwise. For statutory context, see the Dutch Civil Code.
